Resolution Authorizing Awarding Contract Legal Services

RESOLUTION OF THE PARKING AUTHORITY OF THE CITY OF EAST ORANGE APPROVING AWARDING CONTRACTS TO MCMANIMON,
SCOTLAND AND BAUMANN, LLC AND THE ALOIA LAW FIRM, LLC TO PROVIDE LEGAL SERVICES TO THE AUTHORITY
WHEREAS, in order to investigate, implement and manage strategies regarding parking and traffic management issues, the City Council (the “City Council”) of the City of East Orange (the “City”), pursuant to Ordinance No. 14-1970 duly adopted March 9, 1970 (the “Creation Ordinance”) and the Parking Authority Law (N.J.S.A. 40:11A-1 et seq.) of the State as amended and supplemented (the “Act”), created and established the East Orange Parking Authority (the “Authority”) as a public body corporate and politic of the State and an agency of the City with all the powers, privileges, and authority conferred by the Creation Ordinance and the Act; and
WHEREAS, the Authority is empowered by the Act to appoint and employ professionals, technical advisors and experts as the Authority may determine to be necessary for its efficient operation; and
WHEREAS, the Authority has determined that it is necessary to retain the services of a contractor to provided ongoing general legal services (the “Legal Services”); and
WHEREAS, on or about June 24, 2022, the Authority, through its employees and agents, publicly advertised a request for proposals (the “Request for Proposals”) for the provision of Legal Services, pursuant to the State’s Local Public Contracts Law, N.J.S.A. 40:11A-1 et seq. and the Fair and Open Process N.J.S.A. 19:44A-20.4 et seq.; and
WHEREAS, on July 14, 2022, the Authority received two (2) proposals in response to the Request for Proposals, from McManimon, Scotland & Baumann, LLC (“MS&B”) and the Aloia Law Firm, LLC (“Aloia Law Firm”); and
WHEREAS, the Authority has examined all the proposals and has determined the services and fees set forth in MS&B’s and the Aloia Law Firm’s respective proposals are reasonable, necessary, and appropriate in light of such firms’ experience; and
WHEREAS, the Authority desires to engage MS&B and the Aloia Law Firm to provide the Legal Services, when and as directed, in accordance with the terms and conditions of the Request For Proposals and the respective proposals submitted by MS&B and the Aloia Law Firm.

NOW, THEREFORE, BE IT RESOLVED by the East Orange Parking Authority, in the County of Essex as follows:
Section 1. The aforementioned recitals are incorporated herein as though fully set forth at length.
Section 2. The Authority hereby authorizes and directs the Chairperson, in consultation with counsel, to prepare and execute contracts with MS&B and the Aloia Law Firm to provide the Legal Services to the Authority, as set forth herein.
Section 3. Notice of these respective contract awards shall be published as required by law.

Section 4. A copy of this resolution shall be available for public inspection at the offices of the Authority.
Section 5. This Resolution shall take effect immediately.
